Terms of Service

1. Parties & definitions

These Terms of Service ("Terms") form a legally binding agreement between Skaleminds L.L.C-FZ, a company registered in the UAE Free Zone ("we", "us", "Skaleminds", or "jig"), and the organisation or individual ("you", "Client") accessing or using the jig platform and services at withjig.com.

By using our services, initiating a discovery call, or accepting a sprint proposal, you agree to these Terms in full.

• "Platform" means the jig client dashboard at yourcompany.withjig.com and associated tooling infrastructure.
• "Sprint" means a one-week active build period in which our team designs, builds, and deploys agreed software.
• "Tool" means any custom software application, dashboard, workflow, or integration built by us for you under a Sprint.
• "Platform Fee" means the recurring monthly subscription charged to host, maintain, and support deployed Tools.

2. Services

Skaleminds provides custom internal software design, development, deployment, and maintenance through the jig platform. Services include:

• A free discovery session to scope your first tool
• Sprint-based software development at a fixed per-sprint fee
• Hosted infrastructure on managed cloud, accessible via your subdomain
• Ongoing maintenance, support, and an AI support agent trained on your tools
• Access to the jig client dashboard for tool management, team access, sprint tracking, and billing

The specific scope of each Sprint is agreed in writing (email or dashboard message) before work begins. No work will be invoiced that was not scoped and approved in advance.

3. The sprint model

Work is delivered in discrete Sprint weeks. Each Sprint has a defined scope, agreed before the Sprint begins. The following applies to all Sprints:

• Scope: Only work explicitly included in the agreed Sprint scope will be delivered within that Sprint. Additional requests constitute a new Sprint.
• Bug fixes: If delivered software does not function as scoped, we fix it at no charge. This does not include changes to the original scope.
• Changes: Any modification beyond what was scoped — including UI changes, new features, or logic adjustments — requires a new Sprint, approved before work begins.
• Delivery: We target deployment within the Sprint week. Complex builds or unforeseen technical constraints may extend delivery; we will communicate any delays promptly.
• Billing: Sprint fees are charged upon deployment to production. No charge is made for Sprints where working software is not delivered.

4. Fees & payment

Fees consist of two components: a per-Sprint fee and a recurring Platform Fee.

• Sprint fee: Currently $3,000 per Sprint week. Invoiced upon delivery. Payment due within 14 days of invoice.
• Platform Fee: A monthly subscription covering hosting, maintenance, support, and access to the dashboard. Plan details and pricing are published at withjig.com/pricing. Billed monthly in advance.
• Free tier: The first tool is hosted at no Platform Fee indefinitely under the Free plan, subject to plan limits.
• Price changes: We will give 30 days written notice of any Platform Fee changes. Sprint fees may change; the fee at the time of Sprint approval applies.
• Late payment: Invoices unpaid after 30 days may result in suspension of hosted tools until the balance is settled.

All fees are quoted in USD unless otherwise agreed. VAT or applicable taxes are the Client's responsibility where they apply in your jurisdiction.

5. Ownership & intellectual property

You own what we build for you. Specifically:

• Source code: All custom code written for your Tools is your property from the moment it is delivered. You may request a complete source code export at any time.
• Data: All data entered into or generated by your Tools is entirely yours. We have no claim to it and will not use it for any purpose outside the agreed scope.
• Export: You may request a complete export of your data and source code at any time, in a portable format, at no additional charge.
• Self-deploy: You may take your source code and deploy it independently at any time, with no restriction or penalty.
• Platform: The jig platform infrastructure, dashboard, and AI support agent are proprietary to Skaleminds and are licensed to you during your subscription.
• Third-party components: Where open-source or third-party libraries are used in your Tools, their respective licences apply. We will disclose these on request.

6. Data & privacy

Our handling of personal data is governed by our Privacy Policy. For data processed within your Tools, a Data Processing Agreement is available on request and is required for any Tool handling personal data of third parties.

We will not access, use, or disclose your data except as necessary to deliver the agreed services, or as required by law.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared in the course of the engagement, including business processes, technical specifications, and commercial terms. This obligation survives termination of the agreement for a period of three years.

We will not reference your company name, logo, or the existence of our engagement in any public-facing material without your prior written consent.

8. Warranties & limitation of liability

We warrant that the services will be performed with reasonable skill and care, and that delivered Tools will function materially as scoped at the time of delivery.

We do not warrant that the platform will be error-free or uninterrupted, though we commit to the uptime SLAs published on our website. Our liability in connection with these Terms is limited to the total fees paid by you in the three months preceding the event giving rise to the claim.

Neither party is liable for indirect, consequential, or punitive damages arising from this agreement, to the extent permitted by applicable law.

9. Termination & continuity

Either party may terminate the Platform subscription at any time with no penalty. Termination takes effect at the end of the current billing period. Active Sprints in progress at termination will be completed and invoiced.

Upon termination, you retain full rights to your source code and data. We will provide a complete export within 14 days of written request. Hosted tools will remain accessible for 30 days post-termination to facilitate migration.

Continuity guarantee: In the event Skaleminds ceases operations, all Clients will receive their complete data and source code with no conditions attached, at no charge.

10. Governing law & disputes

These Terms are governed by the laws of the United Arab Emirates. Skaleminds L.L.C-FZ is registered in the UAE Free Zone. Any dispute arising from these Terms will first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes will be referred to the courts of the UAE, or such other jurisdiction as agreed in writing.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to active Clients by email with at least 14 days notice. Continued use of the platform after the effective date constitutes acceptance. If you do not accept the updated Terms, you may terminate your subscription before the effective date.
